Varc Terms of Service
Terms governing use of the Varc software and related services.

These Terms of Service (the “Terms”) govern your access to and use of Varc, including the Varc desktop application, associated websites and any related services made available by Latticewell Labs Ltd (“Latticewell”, “we”, “us” or “our”). By downloading, installing, purchasing, accessing or using Varc, you agree to these Terms.
1. Who provides Varc
Varc is developed and licensed by Latticewell Labs Ltd. Purchases are currently processed through Paddle, which acts as the authorised online reseller and Merchant of Record for Varc orders. Paddle handles payment-related customer service, billing and returns for transactions it processes.

2. Eligibility and authority
You must be legally capable of entering into a binding agreement. If you use Varc on behalf of a business or other organisation, you confirm that you have authority to bind that organisation to these Terms.
3. Licence to use Varc
Subject to these Terms and any applicable plan limits, Latticewell grants you a limited, non-exclusive, non-transferable and revocable licence to install and use Varc for your own lawful personal or business purposes.
Unless permitted by law or expressly authorised by us, you must not:
- copy, resell, sublicense, distribute or make Varc available as a competing product or service;
- circumvent licence, entitlement, security, usage or technical restrictions;
- reverse engineer, decompile or disassemble Varc, except to the extent applicable law expressly permits it;
- use Varc to gain unauthorised access to systems, data or networks; or
- use Varc in a way that is unlawful, abusive, fraudulent or designed to interfere with Varc or third-party systems.
4. Plans, perpetual licences and update renewals
Varc is offered under Free and paid Personal, Pro and Team plans. Paid plans are perpetual licences, not subscriptions. The features, limits and price applicable to your purchase are those shown on the Varc website and at checkout when you buy. An initial paid purchase includes one year of new Varc builds. Builds released during your covered update period remain usable under your licence indefinitely, subject to these Terms and the applicable plan and device limits. Changes to plans do not remove the release entitlement you have already purchased.
Update renewals are optional, separate purchases and are not charged automatically. Each update renewal includes one further year of new Varc builds; the applicable coverage dates are shown before purchase. If you do not renew, you retain the right to use builds covered by your existing licence, but later builds require a suitable update renewal. There is no recurring subscription to cancel. Refund rights are described in the Varc Refund Policy and any mandatory rights that apply to you.
5. Updates and product changes
Varc is actively developed. We may add, change, deprecate or remove functionality, integrations or supported platforms. We may also release security, compatibility or maintenance updates. Where a material change affects a paid service, we will take reasonable steps to communicate it where appropriate.
6. Your databases, systems and data
Varc is a development and database-management tool. It can read, modify, create and delete data in Redis, Valkey and other systems that you connect to it. You are responsible for ensuring that you have permission to access those systems and for deciding which commands and operations to perform.
You are responsible for maintaining appropriate backups, access controls, staging practices and recovery procedures. Warnings, confirmations, read-only modes, previews, undo or recovery features are convenience safeguards and are not a substitute for backups or appropriate database permissions. No recovery feature can be guaranteed to restore every operation or every external system state.
7. Credentials and security
You are responsible for safeguarding licence information, account credentials, connection credentials, API keys and other secrets used with Varc. Do not share credentials in a way that allows unauthorised access. If you believe a Varc account or entitlement has been compromised, contact us promptly.
8. Third-party services and software
Varc may interoperate with third-party products and services, including Redis, Valkey, cloud providers, AI providers and other developer tools. Those third parties are responsible for their own products, availability and terms. If you choose to connect Varc to a third-party service, your use of that service may also be governed by the third party’s terms and privacy notices.
Varc may include or depend on open-source software. Applicable open-source licences continue to apply to those components.
9. Intellectual property
Varc, its branding, interface, documentation and proprietary software are owned by or licensed to Latticewell and are protected by intellectual-property laws. These Terms grant only the rights expressly stated above. They do not transfer ownership of Varc or any Latticewell intellectual property to you.
10. Feedback
If you choose to send us suggestions, ideas or other feedback about Varc, you allow us to use that feedback without restriction or payment to you. This does not transfer ownership of your pre-existing materials or confidential information.
11. Support and availability
We aim to provide a reliable product and reasonable support, but we do not guarantee that Varc or any online service will always be available, uninterrupted or error-free. Maintenance, security incidents, third-party outages and other events may affect availability.
12. Suspension and termination
We may suspend or terminate access to Varc or related services where reasonably necessary to address fraud, security risks, unlawful use, material breach of these Terms or misuse of our infrastructure. Where appropriate and lawful, we will give notice and a reasonable opportunity to remedy the issue.
The end of an update period does not terminate your perpetual licence or your right to use builds covered by it. Paid licences may require periodic online verification; a verification period is separate from the update period and does not create a subscription. A refund, chargeback, fraud decision or termination under these Terms may affect the associated entitlement. Refunding an update renewal removes the additional coverage supplied by that renewal, without by itself removing rights from an earlier, unrefunded purchase.
13. Disclaimers
To the fullest extent permitted by law, Varc is provided on an “as is” and “as available” basis. We do not promise that Varc will meet every requirement, work with every server configuration, detect every dangerous operation, prevent data loss or remain compatible with every third-party product.
Nothing in these Terms excludes any warranty, right or remedy that cannot lawfully be excluded, including mandatory consumer rights.
14. Liability
Nothing in these Terms limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the paragraph above, and to the fullest extent permitted by law, Latticewell will not be liable for indirect, incidental or consequential loss, loss of profits, revenue, business, goodwill or anticipated savings, or loss or corruption of data arising from your use of Varc. For business users, our aggregate liability arising out of or relating to Varc in any twelve-month period will not exceed the amount you paid for Varc during that period.
Consumer users retain any liability protections and remedies that applicable consumer law makes mandatory.
15. Refunds
Our voluntary refund promise is set out in the Varc Refund Policy. It is in addition to, and does not replace, any statutory withdrawal, refund or consumer rights that apply to you.
16. Privacy
Our handling of personal data is described in the Varc Privacy Policy, available at varc.dev/privacy.
17. Changes to these Terms
We may update these Terms to reflect changes to Varc, our business, applicable law or our commercial arrangements. The updated version will be posted on our website with a new effective date. If a change materially affects an active paid service, we will provide reasonable notice where appropriate.
18. Governing law and disputes
These Terms are governed by the laws of England and Wales. If you are a consumer, this choice does not deprive you of mandatory protections provided by the law of the country in which you live. Courts with jurisdiction under applicable law may hear disputes arising from these Terms.
If you have a problem with Varc, please contact us first so we can try to resolve it.
19. General
If any part of these Terms is found unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision immediately does not waive the right to enforce it later. We may assign these Terms as part of a merger, reorganisation, sale of assets or similar business transaction. You may not assign your rights under these Terms without our consent, except where applicable law gives you that right.
